Avila Terms of Service

These Terms of Service ("Terms") govern your use of Avila web application ("App"). By accessing or using the App, you agree to be bound by these Terms.
By accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional guidelines or rules applicable to specific features or services provided within the App.
2. Use of the App
2.1 Eligibility: You must be at least 18 years old and have the legal capacity to enter into a contract to use the App.
2.2 User Responsibilities: You agree to use the App in a manner consistent with all applicable laws and regulations. You are solely responsible for any content you post, share, or transmit through the App and for any consequences arising from such actions.
2.3 Prohibited Activities: You agree not to engage in any of the following prohibited activities while using the App:
- Violating any applicable laws, regulations, or third-party rights.
- Uploading, posting, or transmitting any content that is unlawful, harmful, defamatory, abusive, or otherwise objectionable.
- Interfering with or disrupting the App's functionality or servers.
- Attempting to gain unauthorized access to the App or other users' accounts.
- Engaging in any activity that could harm the reputation or operation of the App.
3. Intellectual Property
3.1 Ownership: All intellectual property rights, including copyrights, trademarks, and patents, associated with the App belong to Avila or its licensors. You agree not to use or reproduce any such intellectual property without obtaining prior written permission from Avila.
3.2 License Grant: Avila grants you a limited, non-exclusive, non-transferable license to access and use the App for its intended purpose, in accordance with these Terms.
4. Limitation of Liability
4.1 Disclaimer of Warranties: The App is provided on an "as-is" and "as available" basis, without any warranties or representations, express or implied. Avila does not guarantee that the App will be error-free, uninterrupted, or secure.
4.2 Limitation of Liability: To the maximum extent permitted by law, Avila and its officers, directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to the use or inability to use the App, even if Avila has been advised of the possibility of such damages.
5. Termination
Avila reserves the right to suspend or terminate your access to the App at any time and for any reason, without prior notice or liability.
6. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Avila. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of State of California.

Interpretation and Definitions
Interpretation
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Account means a unique account created for You to access our Service or parts of our Service.

To manage Your requests: To attend and manage Your requests to Us.
For business transfers: We may use Your information to evaluate or conduct a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of Our assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which Personal Data held by Us about our Service users is among the assets transferred.
For other purposes: We may use Your information for other purposes, such as data analysis, identifying usage trends, determining the effectiveness of our promotional campaigns and to evaluate and improve our Service, products, services, marketing and your experience.
Avila's use and transfer to any other app of information received from Google APIs will adhere to Google API Services User Data Policy, including the Limited Use requirements.
We may share Your personal information in the following situations:
With Service Providers: We may share Your personal information with Service Providers to monitor and analyze the use of our Service, to contact You.
For business transfers: We may share or transfer Your personal information in connection with, or during negotiations of, any merger, sale of Company assets, financing, or acquisition of all or a portion of Our business to another company.
With Affiliates: We may share Your information with Our affiliates, in which case we will require those affiliates to honor this Privacy Policy. Affiliates include Our parent company and any other subsidiaries, joint venture partners or other companies that We control or that are under common control with Us.

With Your consent: We may disclose Your personal information for any other purpose with Your consent.
Data Processing with OpenAI for Meeting Agendas and Summaries:To enhance the functionality of our Service, we use OpenAI's API to generate summaries of Zoom meetings. We collect transcription data from your Zoom meetings, as well as user-generated content about the purpose of the meeting, and pass this data to OpenAI solely for the purpose of creating meeting summaries. OpenAI does not use the data provided by our application to train its models or for any other purpose, ensuring your data remains confidential and is only utilized to improve your experience with our application. Your consent to our privacy policy and use of our service includes consent for this data processing.
Retention of Your Personal Data
The Company will retain Your Personal Data only for as long as is necessary for the purposes set out in this Privacy Policy. We will retain and use Your Personal Data to the extent necessary to comply with our legal obligations (for example, if we are required to retain your data to comply with applicable laws), resolve disputes, and enforce our legal agreements and policies.The Company will also retain Usage Data for internal analysis purposes. Usage Data is generally retained for a shorter period of time, except when this data is used to strengthen the security or to improve the functionality of Our Service, or We are legally obligated to retain this data for longer time periods. After the retention period, we will securely delete or anonymize your Personal Data, unless we are required to retain it by law or for legitimate business purposes. For Zoom transcription data, we retain the collected data for a period of 30 days to ensure service quality and user support. After this period, the data is securely deleted from our systems.
Transfer of Your Personal Data
Your information, including Personal Data, is processed at the Company's operating offices and in any other places where the parties involved in the processing are located. It means that this information may be transferred to — and maintained on — computers located outside of Your state, province, country or other governmental jurisdiction where the data protection laws may differ than those from Your jurisdiction.Your consent to this Privacy Policy followed by Your submission of such information represents Your agreement to that transfer.The Company will take all steps reasonably necessary to ensure that Your data is treated securely and in accordance with this Privacy Policy and no transfer of Your Personal Data will take place to an organization or a country unless there are adequate controls in place including the security of Your data and other personal information.
Delete Your Personal Data
You have the right to delete or request that We assist in deleting the Personal Data that We have collected about You.Our Service may give You the ability to delete certain information about You from within the Service.You may update, amend, or delete Your information at any time by signing in to Your Account, if you have one, and visiting the account settings section that allows you to manage Your personal information. Business Transactions
